Overview
The objective of this session is to assist the development of emerging directors through an introduction to governance, building governance awareness in an interactive environment. Experienced directors will guide discussions around the Four Pillars of Governance Best Practice which provides essential guidance on best practice governance, global trends and the contemporary operating environment in New Zealand.
On completion, participants will have a sound fundamental understanding of governance best practice, boosting their confidence to undertake more formal director training such as the one-day Essentials courses for aspiring and new directors.
Preparation
A workbook will be emailed two weeks prior and it is expected of each participant to familiarise themselves with the reading and exercises around each of the Pillars (please bring your workbook – either electronic or hardcopy – to the session).
Who should register?
The workshop is ideally suited for mid to senior-level executives and new directors on commercial, not-for-profit (NFP) and Crown-owned boards. It will provide a unique opportunity to learn from a number of New Zealand’s senior director practitioners, share experience and network with other like-minded business people. You should ideally have some governance experience, but not have completed any of the IoD governance development courses.
The session is limited to 28 participants. Drinks and light dinner will be served.
Rachel Afeaki-Taumoepeau

Born, raised and educated in New Zealand, through her father hails from Pangai Ha’apai Tonga, Faleafa Samoa and Ngati Awa and through her late mother Kolofo’ou, Vaini Nuku’alofa.
Rachel’s authentic governance and leadership is underpinned by her values of integrity, goodwill and excellence to strategically influence and encourage diverse thinking to ‘bridge build’ for the purposes of socio-economic prosperity for communities, businesses and government for global impact.
Rachel is an experienced strategic and business director overseeing key relationships across the Pacific region and internationally in both public-private sectors in the various governing roles she holds.
Fiona Carrick

A senior strategic leader, Fiona’s broad commercial and governance experience spans local and global businesses.
Across her governance portfolio, Fiona is a Member of Te Nehenehenui Trust Group Investment Committee and serves on the boards of Kiwifruit Vine Health Inc, Stihl Shop, JerseyNZ, Maungaharuru Tangiutū Ltd, Kaiwaka JV, and the Home of Cycling Charitable Trust (Grassroots Velodrome).
Fiona brings deep commercial, risk, financial and strategic skills, and her emphasis on sustained and authentic stakeholder engagement shapes the effective partnerships she forges and leads within organisations and across industries.
Fiona’s commercial experience includes roles as Chief Executive of Te Waka (the Waikato Regional Economic Development Agency) and GM Risk at Fonterra.
Based in Cambridge with her family, Fiona is passionate about the transformation and growth that will advance economic development in the Waikato region.
Fiona holds a Master of Science (MSc) from the University of Otago and a Master of Business Administration (MBA) from Victoria University of Wellington. Fiona is also a Chartered Member of the Institute of Directors in New Zealand.
Earl Rattray

Earl Rattray’s professional career began as an agricultural economist before entering the dairy industry in the 1980s, progressing from share milking to multiple farm ownership and later, senior dairy industry leadership roles.
He was a founding board member of Fonterra, New Zealand’s largest commercial entity, and the founding Chairman of the New Zealand Dairy Companies Association. He still retains interests in several medium and large-scale dairy farming companies in New Zealand, Chile, USA, Australia, and India.
Earl is a Fellow of the Institute of Directors in New Zealand, and the New Zealand Institute of Primary Industry Management.
Doug Wilson

FCA member of the New Zealand Institute of Chartered Accountants BMS Bachelor of Management Studies.
With over 30 years of professional experience, Doug is a seasoned Chartered Accountant and Partner at Deloitte, where he has been providing mid-market accounting, strategic advisory, and corporate finance services. His career includes a three-year stint in the UK (1996-1998) and a partnership at Deloitte since 2007. Based predominantly in the Central North Island, [Your Name] leads Deloitte’s Corporate Finance division in the region, complementing his broader expertise in accounting and financial strategy.
Over the course of his career, Doug has developed a reputation for his deep understanding of both governance and financial advisory work. He brings nearly two decades of governance experience through various directorships and trusteeships, leveraging his insight to shape and direct organizations across different sectors.
Selected Governance Experience:
- Waikato Rugby Union – Director (2003–2011): Actively governed both grassroots and professional rugby operations, contributing to the strategic development of one of the region’s most recognized organizations.
- Grassroots Trust – Trustee (2005–2011): Played a pivotal role in expanding the trust’s distribution from $600 thousand to over $5 million, supporting community organizations and the development of amateur rugby.
- Habitat for Humanity Central North Island – Director (2009–present), Chairman (2024–current): Provided governance oversight for the region’s largest chapter of Habitat for Humanity, managing an asset base of over $50 million while driving better housing outcomes for those in need.
