In this first episode we look at how transition planning can enable the board to reduce its exposure to risks while highlighting market opportunities and improving attractiveness for investors/stakeholders. Done well, transition planning is not a standalone document but a core element of a business’s overall strategy. It should enable the board to define a robust long-term strategic direction that supports decision-making to improve your business’s ability to navigate the increasing uncertainty of your operating environment.

As a Chartered Environmentalist and Fellow of the Institute of Environmental Management and Assessment, Alec has focused his career on addressing the breadth of sustainability challenges and opportunities that are increasingly shaping our communities, society and economy. This has included a range of leadership positions in academia, business and the public sector, alongside an active involvement in professional institutions, industry associations and networking groups.
Through these roles, Alec has become well-practised in the identification of strategic and operational sustainability risks as well as the development and delivery of solutions to meet these challenges. Alec has successfully built and led numerous diverse, multi-disciplinary teams through a focus on common values, aligned purpose and trust. His work has ranged from the development of high-level regional strategies on climate change, liveability and wellbeing, incorporating broad stakeholder and community engagement, through to the design and delivery of specific interventions and the creation of impact measures to gauge their success.
Alec’s diverse background means that he can couple an in-depth knowledge of organisational sustainability risks with an understanding of the operational contexts and behaviours that are present within complex organisations. In addition to these broad strategic and technical insights, his strengths include the core communication and interpersonal skills required to effectively engage and collaborate with the internal and external stakeholders that are critical to delivering long term transformation sustainability change.
CFInstD
Mark is an experienced company director, currently serving on the boards of several major companies and organisations. Mark is the Chair of Meridian and Summerset Group Holdings Limited. He is also the former Chair of Freightways Limited, Spark New Zealand Limited and Transpower New Zealand Limited. He is a former board member of the Financial Markets Authority and former member of the Advisory Board to New Zealand Treasury.
Mark has had significant involvement and experience in the energy and technology sectors, as well as capital markets, in a variety of roles, over many years.
MInstD
Lindis was appointed Chief Executive Officer, Z Energy on 1 March 2023. He has been with Z since 2010, where he's held several different executive roles including, GM Corporate, responsible for Z's original strategy development, and Chief Financial Officer. He was responsible for the integration of the Chevron New Zealand Business in 2015-16 and oversaw the integration approach to Ampol's acquisition of Z in 2022. Lindis is a Board Member of Loyalty NZ. He served as a Director of Channel Infrastructure from 2019 to December 2023 and was on the Board of Flick Electric – the electricity retailer wholly owned by Z – from 2018 until May 2023.
Lindis has a strong personal commitment to helping Aotearoa New Zealand shift to a low-carbon economy, and doing that in a way that ensures energy security and affordability.
CMInstD
Judene is a principal governance adviser with the Institute of Directors’ Governance Leadership Centre and Chapter Zero NZ lead providing best practice advice, guidance and advocacy for directors. She is also a trustee of the Rātā Foundation and Network Tasman Trust, and Chair of the Nelson Historic Theatre Trust.
The IoD are the New Zealand hosts of Chapter Zero leading and supporting a range of projects including the Board Toolkit, Scenarios Analysis and Board Structures resources. Prior to joining the IoD she ran her own consultancy for over 20 years specialising in governance, policy, strategy and communications working across a wide range of sectors, including housing, health, solid waste, aviation, energy, not-for-profit and infrastructure.
She was a local government elected member for 12 years and a director on a range of private and public entity boards. She has a background in behavioural science and communications and is a Chartered Member of the IoD.

It is the home for climate change governance at the IoD and aims to support directors to meet their fiduciary duties by supporting them with the skills, tools, processes and information they need to act and guide their companies through the challenges of climate change.
