Join us for the inaugural Climate Governance Forum, a one-day conference to connect with other directors and hear from leaders in climate governance and subject matter experts about the board’s role in addressing climate change.  

Sessions throughout the day will include how to leverage opportunities and manage the physical and transition risks of climate change, including balancing the various tensions such as short-term viability, long-term sustainability, maintaining social license and changing stakeholder demands around your board table. 

Looking at the unique perspective of the board's role in governing climate change, you'll hear from experts on topics including scenarios, transition planning, climate reporting, regulation, stakeholder expectations, trade restrictions – and more.

Oliver Bruce

Oliver is a climate-tech angel investor and sits on the Simplicity Kiwisaver Investment Committee. He backs companies building disruptive sustainable solutions to highly-polluting transport and industries or powering climate change adaptation. 

Previously, Oliver was on the investment team at Blackbird, the largest venture capital firm in Australasia, helped set Uber up in NZ, built industrial projects in the Middle East and was a climate activist. He also runs Urbanerds, an advocacy organisation for building better cities in New Zealand. 

Kirsty Campbell

CMInstD

Kirsty is a professional director and commercial adviser who has held a range of roles in corporate finance, banking, law and regulation.   

She is chair of Toitū Envirocare and Mitchell Vranjes and an independent director of NZHL, Salt Funds and Ando Insurance.  She is also a member of the NZ Markets Disciplinary Tribunal.

Her previous governance roles include Public Trust, Montana Group, New Plymouth PIF Guardians and Simplicity NZ.  

Kirsty is a Chartered Member of the Institute of Directors, an Accredited Investment Fiduciary®, a certified member of INFINZ and a member of Global Women.    A proud Scotswoman, she has a Bachelor of Law (Hons) and a post-graduate Diploma in Legal Practice, from the University of Edinburgh.  

Julia Hoare

Julia Hoare is a professional independent director. She is Chair of Port of Tauranga Limited, Director of Comvita and Director and Chair of the Audit and Risk committees of Auckland International Airport Limited and Meridian Energy Ltd.

Julia is also a Board member of Northport Ltd & Primeport Timaru Ltd. Previous roles include Deputy Chair of the a2 Milk Company Limited and Director of New Zealand Post, AWF Madison Group and Watercare Services and formerly a member of the External Reporting Advisory Panel and the New Zealand Sustainable Finance Forum Leadership Group.

Julia is also the immediate past president and immediate past Chair of the Institute of Directors (IoD). Julia was a Partner with PwC NZ for 20 years where she sat on the Government’s review into the emissions trading scheme, and also set up and led PwC’s local sustainability and climate change services practice.

Julia is a Fellow of the Institute of Chartered Accountants and a Chartered Fellow of the IoD.

Malcolm Johns

Malcolm joined Genesis Energy in 2023 as Chief Executive. Prior to this he was the Chief Executive of Christchurch Airport for 9 years.

Malcolm is responsible for leadership, strategic direction and management of Genesis’ business interests.  

He is a signatory and founding member of the Climate Leaders Coalition Steering Group and served as Chair of the APEC Business Advisory Council leading the regional trade policy task force for climate change. 

Malcolm has also been Chief Executive of InterCity Group and held several governance roles within New Zealand’s transport, infrastructure and tourism sectors. 

He has a Bachelor of Management Studies at the University of Waikato and has completed a range of executive leadership programs through Wharton Business School (USA), IESE (Spain), CIEBS (China), Northwestern University (USA) and the University of Cambridge (UK). 

Catherine McMillan

Catherine is a Chartered Member of the Institute of Directors and a Fellow Chartered Accountant.  She has experience in the public sector, corporate business and education, both in senior management and governance roles.  Her consultancy business focuses on governance services, director training, strategy development and business re-structuring. 

She has held governance roles in a variety of organisations and, amongst others, is currently an Independent Board Member for New Zealand Young Farmers and a trustee with CORE Education Charitable Trust, CSO Foundation and Te Kōhaka o Tūhaitara Trust.

Catherine believes that effective governance decision-making contributes to the overall success of the organisation.  Good governance takes a broad view of success, ensuring good culture and a long-term view of sustainability.

During her downtime, Catherine enjoys getting out into the rural environment and loves learning and trying new things. 

Karen Price

CFInstD

Karen is a Chartered Fellow of the IoD, an experienced director, chair and environmental lawyer. She has established several organisations, including her own boutique law firm, ChanceryGreen. Karen’s governance roles have focussed in the SME sector, often in chair roles. Karen brings strong leadership, legal, commercial and risk management expertise as well as adult education and business transformation experience.

Karen is Auckland based and has been a member of the IoD since 2001. She was a Mentee during the first intake of the Mentoring for Diversity programme in 2012 and has ongoing involvement through her attendance at branch events and her regular facilitation of the Governance CV workshops.

Marama was born and raised in Tāmaki and had the privilege of receiving her education at Queen Victoria School in Parnell. She has extensive experience in strategic planning, relationship management, leadership, governance, and organizational change. Marama has been a Director of Ngāti Whātua Ōrākei Trust since 2010 and has served as Chair since December 2017. Marama also holds the position of Chair for the Ngāti Whātua Ōrākei Reserves Board, a co-governance model in partnership with Auckland Council that has thrived for over 30 years. Marama also holds several Chair and Directorships for various boards and has just been appointed Pro-Chancellor for AUT Council.

Dr Amelia Sharman

Amelia joined the XRB in 2021 to coordinate the climate-related disclosure standards. She has an extensive background in climate and sustainability policy areas having previously been the Head of Policy at Ara Ake, the entity responsible for accelerating energy innovation to support New Zealand's transition to a low-emissions energy future. Previously she worked for the New Zealand Productivity Commission where she contributed to its work on New Zealand’s transition to a low-emissions economy. 

Nicola Swan

Nicola is a Partner in Chapman Tripp’s Dispute Resolution and Climate Change, Sustainability and ESG practices. She has a significant focus on climate change risk and reporting and is recognised as a thought-leader in this area.

Nicola has particular expertise in climate related disclosure (CRD) reporting implementation, having advised both government actors and regulated entities as the legislation and associated climate standards have been developing.   Nicola is currently acting for a range of New Zealand banks, fund managers, insurers and listed issuers on climate risk assessment, CRD, emissions targets and related liability/litigation risk. Nicola is also regularly approached to advise on sustainability governance.

Nicola is counsel on several proceedings regarding climate change in the New Zealand courts, including in relation to tortious duties and greenwashing.  Nicola is also counsel in international human rights proceedings regarding state-level climate change obligations. 

In the last three years, Nicola has co-authored published New Zealand legal opinions on fiduciary duties and obligations on boards of directors, fund managers and trustees to consider climate risk to businesses and investments, and several guides for company directors, fund managers and trustees to consider climate risk to businesses and investments.

Nicola is recognised in Chambers Asia Pacific 2024, Legal 500 Asia Pacific 2024 and Who’s Who Legal: Arbitration 2024.  Nicola was also listed in NZ Lawyer's Elite Women List 2023.

Alec Tang

Alec is a Partner at KPMG based in Auckland, co-leading the firm’s Climate, Sustainability and ESG proposition, as well as its Nature and Biodiversity Initiative. 

Alec has a diverse career focussed on addressing the breadth of sustainability challenges and opportunities that are increasingly shaping our communities, society and economy. This has included a range of leaderships positions in academia, business and the public sector, alongside an active involvement in professional institutions, industry associations and networking groups. Alec’s work has ranged from the development of high-level regional strategies on climate change, liveability and wellbeing, incorporating broad stakeholder and community engagement, through to the design of specific delivery programmes and the creation of impact measures to gauge their success. 

Alec is a Chartered Environmentalist, a Member of the Institute of Directors, and a Fellow of the Institute of Environmental Management and Assessment.

Lisa Tumahai

CNZM

Lisa has extensive governance experience that expands 23 years and is a highly respected leader and advocate for her hapū Ngāti Waewae. Lisa’s career has focused on ensuring Ngāi Tahu Iwi thrive. 

She is the CEO for Pokeka Poutini Ngai Tahu Ltd tasked with advancing the commercial, environmental, social, and welling being aspirations of Poutini Ngai Tahu, based on Te Tai o Poutini. 

Lisa is also the Deputy Chair for the He Pou a Rangi the NZ Climate Change Commission which provides independent and expert advice to Government to help meet Aotearoa New Zealand’s climate change goals.

Lisa’s passion and commitment to climate change led to her joining Hinemoana Halo Partnership Fund Ltd as the co-chair.  Hinemoana Halo is a dual ocean and climate resilience initiative which aims to facilitate rapid carbon deceleration across Aotearoa and the Pacific through nature-based solutions.   

She is on several boards including University of Canterbury Council, The National Waitangi Trust, Development West Coast and Te Ara Pounamu Ltd. 

For her services to Māori development, Lisa was made Companion of the New Zealand Order of Merit 2023.

Phil Veal

MInstD

Phil Veal is a private investor and business leader with over 25 years of experience across a wide range of industry sectors. He is currently a board director of private investment company ForthCo, Skyline Healthcare Group (New Zealand Air Ambulance), and Natural Habitats. Previously, Phil has been an investor in and director of several other iconic New Zealand companies including Hellers, Tuatara Brewing, Phoenix Metal Recyclers and Rainbows End.

He is the Managing Director of ForthCo, formerly the Chief Executive of Rangatira, and ran New York-based M&A consulting company PIPC. A qualified civil engineer, Phil started his career as a construction manager working on infrastructure projects in Europe and Asia. Phil is a member of the Chapter Zero NZ Steering Committee and a member of the Institute of Directors New Zealand.

Caren Rangi

Caren is a proud, Canterbury born, Hawke’s Bay raised, Cook Islander who started her career as a chartered accountant and auditor with the Office of the Auditor-General. She chose a career in governance, combined with facilitation and leadership work, so she can contribute to decision-making in areas for which she has passion.

Her current governance roles include Chair of NGO Pacific Homecare and Deputy Chair, Pacific Co-operation Broadcasting Ltd (Pasifika TV). She is also member of the Boards of Massey University, the Museum of New Zealand Te Papa Tongarewa, and the Hawke’s Bay Regional Economic Development Agency. In March this year, Caren completed a three year term as the Chair of the Arts Council of New Zealand, and a one year term on the Hawke’s Bay Regional Recovery Agency.

In 2018, she was conferred with an Officer of the New Zealand Order of Merit for services to governance and the Pacific community.

Caren is a Fellow of Chartered Accountants Australia and New Zealand and a Member of the Institute of Directors and a member of the IoD’s Chapter Zero NZ Steering Committee.
