Overview

Directors and their organisations are facing rising compliance costs, expanding duties and liabilities, and greater public scrutiny. These risks now extend well beyond company directors to include board members of incorporated societies and trusts. Growing transparency expectations, regulatory reform, and heightened public scrutiny are reshaping the governance landscape.

In the past four years, legislative and regulatory changes have significantly increased the complexity of the director role. In the 2024 Director Sentiment Survey political and policy uncertainty was considered the second highest risk for boards. From the proposed Companies Act Amendment Bill and the Law Commission’s review of directors’ duties, to health and safety and resource management reforms, changes affecting public sector and water services entity governance and a greater focus on tax governance, directors need to stay informed to fulfil their responsibilities effectively.

Presented by the Institute of Directors’ Governance Leadership Centre (GLC), this event will provide directors and boards with the essential updates and insights needed to navigate this evolving environment with confidence. You’ll hear expert analysis from Guy Beatson CMInstD, General Manager - Governance Leadership Centre, and sector insights from Susan Cuthbert MInstD, Principal Advisor- Governance Leadership.

Guy Beatson 

CMInstD

Guy is an experienced leader with governance and leadership expertise across public, private, and not-for-profit sectors in New Zealand and internationally. As General Manager of the Governance Leadership Centre and Registrar, he leads the organisation’s research, advocacy, policy agenda, and governance support for directors and boards.

Guy also serves as Chair of Youthline Wellington, Trustee and Board member of Youthline Auckland, Chair of the Youthline National Helpline National Chairs Forum, and Trustee of Youth Search and Rescue. His previous senior roles include Deputy Chief Executive, Strategy and Organisation Performance at Te Puni Kōkiri, and Deputy Secretary Natural Resources Policy at the Ministry for the Environment.  He has also supported senior executives in a diverse range of consulting assignments.

Susan Cuthbert

MInstD

Susan is a qualified lawyer with extensive experience in governance, legal and strategic policy roles across local and central government, private and not-for-profit sectors. As Principal Advisor at the Institute of Directors, she provides expert governance advice and plays a key role in monitoring emerging trends and challenges in governance, including areas such as artificial intelligence. 
 
Susan has led significant governance reforms and strategic initiatives, particularly in complex political environments. She brings a well-rounded, grounded perspective from her senior roles in regulatory development and as in-house counsel, with experience spanning the water sector, renewable energy, the film industry and mental health services.
